Beta Program Confidentiality Agreement

Effective date: July 24, 2026

This Beta Program Confidentiality Agreement ("Agreement") is between you ("Tester," "you") and Persefire ("Persefire," "we," "us") and applies in addition to, not instead of, the Persefire Terms of Service. It governs your participation in Persefire's private beta program, including any access to features, designs, or information not yet publicly released. By checking the acceptance box for this Agreement, you agree to be bound by its terms.

1. Limited purpose of access

You are being given access to Persefire solely to test the service and provide feedback to us. This access does not grant you any right to use Persefire, or any information you learn through it, for any other purpose, including building, operating, or contributing to a competing product or service.

2. Confidential information

"Confidential Information" means any non-public information about Persefire that you observe, receive, or are given access to as a beta tester, including features, user interface and design, source code, system architecture, business plans, product roadmap, and pricing strategy.

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of yours; (b) you already rightfully knew before receiving beta access, as shown by your own prior records; (c) you independently develop without reference to or use of the Confidential Information; or (d) you are required to disclose by law, provided you give us reasonable advance notice where legally permitted.

3. Confidentiality and non-use obligations

You agree not to disclose Confidential Information to any third party, and not to use Confidential Information for any purpose other than testing Persefire and providing feedback to us, for a period of five (5) years from the date you first receive beta access.

You agree to take reasonable care to protect the confidentiality of any Confidential Information you receive, using at least the same degree of care you use to protect your own confidential information, and no less than reasonable care.

4. Derivative products

If, during the term of this Agreement or within twelve (12) months after your beta access ends, you develop, launch, or materially contribute to a product, feature, or service that is substantially derived from Confidential Information disclosed to you under this Agreement, you agree that Persefire retains the right to seek injunctive relief, damages, and any other remedy available at law or equity with respect to that product, feature, or service, and you agree to negotiate in good faith regarding an appropriate license, assignment, or other resolution reflecting Persefire's contribution.

5. Feedback

Any feedback, suggestions, or ideas you voluntarily provide to us about Persefire during the beta program become the sole property of Persefire. We may use, modify, and incorporate that feedback into Persefire without any obligation, compensation, or attribution to you.

6. No warranty; access may be revoked

The beta version of Persefire is provided "as is," without warranty of any kind, and may contain bugs, errors, or incomplete features. We make no commitment regarding the availability, reliability, or continuity of beta access.

We may suspend or terminate your beta access at any time, for any reason or no reason, without notice. Your confidentiality obligations under Sections 2–4 survive any termination of your access.

7. Remedies

You acknowledge that a breach of this Agreement may cause Persefire irreparable harm for which monetary damages alone would be an inadequate remedy, and that Persefire is entitled to seek injunctive relief — a court order stopping ongoing or threatened use or disclosure — in addition to, and not in place of, any other remedy available at law, including monetary damages. If Persefire brings a claim to enforce this Agreement and prevails, you agree to reimburse Persefire's reasonable attorneys' fees and costs incurred in doing so.

8. Governing law

This Agreement is governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law principles. Any dispute arising out of or related to this Agreement shall be brought exclusively in the state or federal courts located in Virginia.

9. Severability and entire agreement

If any provision of this Agreement is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. This Agreement, together with the Persefire Terms of Service, constitutes the entire agreement between you and Persefire regarding beta program participation.
